Job Description

The Associate Corporate Counsel will serve as a corporate governance and securities counsel for Stryker.  This attorney will work closely with the Corporate Secretary team and other corporate functions on a broad range of legal and compliance matters. This attorney will:

  • Assist in managing international subsidiary governance and secretarial matters
  • Prepare SEC filings, including Forms 10-K, 10-Q, 8-K, S-8, Schedules 13G, and Section 16 filings
  • Prepare for annual stockholder meetings, including proxy statements and meeting planning and logistics
  • Ensure compliance with SEC and NYSE rules and regulations
  • Collaborate with the Finance, Accounting, Investor Relations and Communications teams on external communications such as earnings releases, press releases and investor presentations
  • Assist with corporate governance matters, including Board and Committee support, Committee charters and company policies
  • Work closely with HR and Compensation teams on equity plans and administer Insider Trading Policy and 10b5-1 plans
  • Support the Business Development team on mergers & acquisitions
  • Collaborate with and manage outside legal counsel on corporate and securities matters
  • Contribute to solutions to problems which could have a significant impact on the company
  • Prioritize issues and coordinate with project groups to develop solutions to complex problems
  • Provide legal advice related to multiple issues and make decisions related to legal matters which could have a large financial impact on the company
  • Responsible for a large number of issues, prioritizing, and delivering timely results
  • Draft, edit and negotiate complex matters
  • Provide timely advice and counsel to clients          
  • Advise the business on laws, regulations, and Stryker policies        
  • Provide in-house training and education    
  • Follow and implement internal processes         
  • Collaborate and communicate with colleagues, management, and outside counsel
  • Assist on other matters as needed

Qualifications and experience:

  • Law degree and admission to practice law

  • Minimum 3 years' applicable professional experience          

  • Demonstrates good judgment and professional demeanor     
  • Demonstrates ability to work effectively with colleagues in a global organization         
  • Embraces and supports change in a dynamic environment    
  • Ability to work independently and in a team  
  • Possesses good analytical and drafting skills           
  • Experience providing legal advice in a highly regulated environment preferred
  • Demonstrates a commitment to integrity and accountability   
  • Provides guidance and direction to others    
  • Possesses good communication skills and ability to convey legal principles clearly and concisely        
  • Has a basic understanding of business financials and reporting         
  • Has the ability to allocate resources effectively and, where relevant, has a general understanding of the budgeting process, expense and headcount management        
  • Possesses good organizational skills and ability to manage numerous projects and conflicting demands in a fast-paced environment 
  • Possesses good interpersonal skills and ability to communicate at levels of organization        
  • Maintains confidential information   
  • Demonstrates proficiency in the Microsoft Office suite
