MEI offers a start-up atmosphere that is well-capitalized and backed by a leading infrastructure fund. MEI was founded by industry experts with experience deploying over $1B into distributed generation assets totalling more than 300 MW across 20+ state markets.
In less than a year, the team at MEI has invested in projects across 8 state markets and has deployed over $150M of capital. This rapid deployment of capital and fast-paced environment calls for a full-time General Counsel.
The ideal candidate will play a crucial role in MEI leading corporate governance matters and all transactions related to MEI’s investments. The individual will be commercially-minded and serve as an advisor and strategic partner to the management team. Experience in corporate governance and risk management is a must. The General Counsel will need to balance those duties, while leading the diligence and closing processes for all external parties including, but not limited to, developers, EPCs, tax equity investors and lenders. In both capacities, the General Counsel will oversee the work of all outside counsel. The role will require frequent travel to MEI’s New York City Office and elsewhere as needed.
Summary of activities:
Leading project due diligence and negotiation from Letter of Intent to final execution of all transactional and project documentation. This includes the documentation listed below.
Managing corporate governance and risk management.
Negotiate with external financing partners including, but not limited to, lenders, tax equity investors and MEI’s investors.
Review and negotiate supply agreements with vendors.
Engage, and oversee, external counsel and contractors as necessary.

5+ years of experience at a top law firm, including experience leading transactions.
Experience closing large complex transactions involving multiple parties under aggressive timelines.
Experience in the solar industry is required with a focus on project finance. Background in private equity, construction and real estate is also preferred.
Proven negotiation skills.
Ability to work collaboratively with teammates across functions.
Demonstrated ability to perform with a high degree of flexibility and resourcefulness.
Ability to work independently and attention to detail and strong organizational and record-keeping skills.
Demonstrated knowledge of general business and industry practices, processes and familiarity with federal and local energy regulations and performance standards preferred.
Juris Doctor from reputable law school and an active state bar registration.
