Compliance Officer / Corporate Counsel

Position Description

The Compliance Officer is primarily responsible for overseeing and managing compliance at ATI and ensuring that ATI and its employees are complying with internal policies, procedures, and regulatory requirements. Corporate Counsel is responsible for leading corporate strategic and tactical legal initiatives. Provides senior management with effective advice on company strategies and their implementation, manages the legal function, and obtains and oversees the work of outside counsel. Directly involved in complex business transactions in negotiating critical contracts.

Essential Functions

Acts as the Compliance Officer and oversees and manages the Compliance Department.

Oversee, monitor, and ensure that ATI has an effective compliance program.

Ensure that effective and efficient policies and procedures are in place which would provide reasonable assurance to both the Leadership Team and the Board of Directors that ATI is complying with all regulatory requirements. 

Supervises personnel in the execution of their daily activities providing feedback on and evaluation of their performance on a routine basis.

Participates in the definition and development of corporate policies, procedures and programs and provides continuing counsel and guidance on legal matters, implications, and risk.

Serves as legal adviser and ensures that the company conducts its business in compliance with applicable laws and regulations.

Provides accurate legal guidance to the leadership team on matters that affect the company.

Oversees the selection, retention, management and evaluation of all outside counsel.

Manages the compliance, risk management and legal services of the company. 

Performs other special projects, duties and responsibilities as directed.

Performs other duties as assigned.


Juris Doctorate degree required

Experience managing corporate risk and compliance programs as the Corporate Risk/Compliance Officer.

Must be a certified compliance professional.

Admitted to the bar in a U.S. State or Territory and either current in the State of South Carolina or scheduled to take the bar exam within 12 months of hire

Ten years’ legal practice experience  

Minimum of 5 years’ experience working as in-house counsel for a defense/government contractor

Experience working on matters of corporate governance and with a board of directors

Experience working with FAR and DFAR contracts

Experience managing other attorneys and supervising support staff in a corporation; experience with cost-effective management of outside legal resources

Must possess a high degree of both competency and integrity

Detail-oriented, able to work independently in a fast-paced, collaborative environment

Ability to interact with all levels of internal and external customers with highest level of professionalism in a fast-paced and confidential environment

Demonstrated ability to work independently and proactively in a fluid, fast-paced environment, lead projects, meet multiple concurrent deadlines, and organize time and priorities

Strong orientation towards customer service (internally and externally)

Ability to collaborate and work well as a member of a team

High energy and a demonstrated passion for our work

Excellent interpersonal and communication (both verbal and written) skills

Demonstrated ability to maintain confidentiality, and exercise discretion and sound judgment

Maintain currently knowledge of laws and regulations.

Must be a U.S. citizen by birth or naturalization, or a green card lawful U.S. permanent resident, or a political asylum in the U.S. Individual must meet the definition of a U.S. person upon hire due to the risk assessment of this position.

Must successfully pass a background check to access sensitive information and automated systems.

Work Environment

This position is located in an air-conditioned, environmentally controlled atmosphere, and occasionally attend meetings in technology company environments.
