Serve as a strategic thought partner, legal advisor, and team member to the executive leadership team regarding business strategy, commercial transactions, intellectual property, people matters, business development and execution.
Proactively and creatively evaluate risk factors impacting business decisions and anticipate legal issues that could impact the company. Partner with HR team regarding matters related to relevant employment and labor laws.
Play a key role in M&A events including leading legal due diligence in concert with Kaplan Inc. legal team on divisional acquisitions.
Be knowledgeable about and anticipate legislative and regulatory changes affecting the company, especially on industry-specific issues, employment law, corporate governance and regulatory affairs.
Oversee the KTP legal team to effectively serve the organization’s needs; determine the optimal balance between an internal team and external counsel. Manage the selection and usage of outside counsel.
Architect and ensure compliance with all applicable laws and regulations. Advise on corporate governance and compliance matters, including the development and implementation of the organization's policies and procedures.

15+ years of progressive legal experience working in corporate law with 5+ years working in-house. Experience in education, technology, e-commerce and/or companies that have gone through significant transformation is preferred; software or start-up experience a plus
Extensive, direct experience with a variety of legal matters, including strategic business agreements, employment law, commercial contract negotiation, information security and compliance, and intellectual property
Strong negotiating skills in legal as well as financial/commercial issues
Excellent knowledge and understanding of corporate law and procedures
Demonstrated ability to create legal defensive or proactive strategies
Good standing with the New York State Bar
