Unique opportunity to join McKesson’s Corporate, Governance and Transactions legal team as a junior attorney focusing primarily on mergers & acquisitions. You will be a critical member of a collegial team responsible for managing all legal aspects of the company’s active M&A program and will have the ability to advance as you develop critical skills and demonstrate readiness for increased responsibility.
The Staff Counsel I responsibilities will include the following:
Managing due diligence reviews of potential acquisition targets and coordinating with cross-functional teams within McKesson to identify and analyze legal and business risks
Appropriately escalating issues, and assisting senior attorneys in escalations
Preparing contract summaries and/or issues lists for senior attorneys and/or business partners
Drafting and negotiating ancillary transaction documents under the supervision of senior attorneys
Preparing legal presentations for the senior attorneys, and presenting to business leaders, as appropriate
Demonstrating a comprehensive understanding of McKesson’s operating model and growth strategy
Monitoring compliance with internal McKesson business and legal processes and policies
While you will focus on mergers & acquisitions, there likely will be opportunities to assist with securities and corporate governance matters, such as capital markets transactions, SEC filings, Board and Committee materials, and other special projects.
2+ years of legal experience in a corporate legal department or law firm
Experience with basic corporate law principles and contract drafting, familiarity with mergers and acquisitions a plus
Enthusiastic interest in learning about mergers and acquisitions, joint ventures, equity investments and similar corporate transactions
Ability to work under pressure and manage multiple projects in an efficient and timely manner
Ability to work independently with direction and guidance from senior attorneys and collaboratively with others in a collegial, fast-paced team environment
Proactive problem-solving approach
Exceptional communication skills with strong attention to detail
Curious, willing to ask questions and roll up your sleeves to quickly master complicated concepts through on the job learning
Proficient in Office 365 (Word, Excel, Outlook, and OneNote)
Juris Doctor Degree with excellent academic credentials
Member of a state bar in good standing
