VICE x Team

As a key member of the corporate legal function in the US.  The Associate Counsel, Corporate will provide legal support for all corporate matters, with a primary focus on corporate governance, corporate development, real estate, and technology and systems. You will assist the Counsel, Corporate with complicated corporate transactions, including structuring, tax advice, licensing agreements, and services agreements. 

Role x You

You will draft and negotiate NDAs, leases, technology, and systems agreements, as well as ensure compliance with agreements and governance requirements. She or he will have transactional experience and be able to help drive deals to close. 

The short term… you will draft, review and negotiate corporate agreements. Identify risks and propose solutions to mitigate risks while escalating issues as appropriate.

After a year… Manage compliance with agreements and corporate governance globally while working closely with the legal team and other corporate functions


  • D. degree with admission to one or more state bars in good standing required (NY or CA preferred)
  • 3+ years of legal experience in a top tier firm and/or media company, with experience in the Corporate practice preferred
  • Experience with media, entertainment or other intellectual property transactions preferred
  • Experience with complicated equity transactions preferred
  • Highly organized, detail oriented and self-motivated
  • Superior communication and interpersonal abilities
  • Excellent drafting and contract negotiation skills
  • A demonstrated ability to work independently and as a team member while serving a variety of departments within the company 
  • Ability and desire to work in a fast-paced and challenging environment, prioritizing and juggling multiple matters
  • Ability to use good judgment and common sense when interacting with outside and inside contacts and performing job functions
  • Flexibility and willingness to work with other corporate departments
  • Positive attitude.
