Commercial Real Estate and Corporate Paralegal

Ferro Labella & Weiss L.L.C., a full-service, AV rated New Jersey law firm located in Hackensack, seeks a full-time paralegal for its Commercial Real Estate and Corporate departments.  Candidate must possess strong written and verbal communication skills, be highly organized and follow deadlines, detail orientated and have comprehensive research and documentation expertise.  Extensive direct communication with title companies, lenders, brokers and corporate services representatives.

A background in commercial real estate transactions, title insurance issues, lending requirements and documents, and residential real estate transactions is essential.  Real estate department tasks may include:

  • Preparing closing documents including settlement statements, notices of settlement, deeds, mortgage notes and mortgages
  • Facilitating communication between the lawyers for buyer and seller  
  • Reviewing title reports
  • Coordinating with lender regarding lender requirements and preparing lender submissions
  • Coordinating with brokers
  • Preparing legal descriptions of land
  • Maintaining closing checklists and calendaring key dates
  • Responding to due diligence requests
  • Performing post-closing submissions and overseeing post-closing escrow matters

A working knowledge of corporate law is highly desirable, including the fundamentals in areas of formation, maintenance and dissolution of different types of businesses; mergers and acquisitions; and commercial transactions.  Corporate department tasks may include:

  • Preparing organizational documents, including certificates of incorporation or formation; certificates of dissolution, simple operating agreements, assignments of membership interests, stock powers and certificates and merger agreements
  • Drafting promissory notes
  • Filing annual reports
  • Preparing UCC Financing Statements and discharges
  • Responding to due diligence requests and working with data rooms
  • Preparing foreign qualification documents for authority to conduct business outside jurisdiction of formation
  • Performing legal research

Current computer skills (Microsoft Office, document management, time & billing) are required.  Position available immediately.  Competitive salary and benefits.
