The Office of the General Counsel handles all legal and compliance matters, litigation oversight, contract administration, intellectual property maintenance and enforcement, risk assessment, insurance portfolio management, corporate governance, and the administration of the Office of the National Board.
The Associate General Counsel will report to the General Counsel of GSUSA and will work as a team with the Office of the General Counsel on all transactional, legal, governance, and compliance matters that are handled by that Office. This includes significant transactional support for contracts, sponsorship agreements, and license agreements as well as other legal matters that arise at GSUSA.

She/he will negotiate contracts for key terms and conditions that protect Girl Scouts of the USA and help to assess and mitigate risk. Contracts span a wide field of GSUSA business requirements including technology platforms and services, professional services (such as consulting, auditing, brand, technology, creation of program materials, etc.), licensing agreements, sponsorship agreements, and grant/donor agreements.
She/he will provide advice and counsel on the variety of legal issues that arise at GSUSA such as human resources matters, permissions for use of Girl Scouts intellectual property, governance questions, litigation support, and compliance matters.
Solid understanding of legal principles and practices, especially in the area of contract law.
Experience in contract creation and negotiation skills; knowledge of contract provisions, areas of risk and general business law.
Intellectual property and media rights experience is a plus.
Ability to prepare and present effective written and oral reports, recommendations and advice.
Strong leadership skills
Project management experience; able to manage multiple projects concurrently and meet deadlines.
Flexibility and ability to work well with a team.
Creative thinker with strong problem-solving and organizational skills.
Demonstrated team player able to work on cross-functional teams with emphasis in the areas of information technology and finance.
Excellent written/verbal communication and interpersonal skills.
Ability to manage confidential information and documents with discretion.
Nonprofit experience a significant plus.
JD degree required.
Minimum of 5 - 7 years of experience required.
